Terms & Conditions

1. Acceptance of these Terms

By creating an account, publishing an app, purchasing a plan, or otherwise continuing to use the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization. If you are an individual, you confirm that you are of legal age to form a binding contract.

2. The Service

The VibeOS Dev Portal is a first-party software-as-a-service platform operated by VibeOS, Inc. We provide developers with our own proprietary tooling and services — including app packaging and publishing tools, hosting and distribution infrastructure, analytics, and optional promotional placement — so they can build and ship applications for the VibeOS platform. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms and any plan you have selected.

All fees charged through the Service are paid by developers to VibeOS, LLC in exchange for access to our own platform, tooling, and services. The Service is not a marketplace or reseller of third-party goods, and VibeOS does not collect payments on behalf of, or disburse funds to, any third party. We do not facilitate payments between users, and no revenue-sharing or payout arrangements with developers are offered through the Service.

3. Acceptable use

You agree not to misuse the Service. In particular, you must not:

• use the Service for any unlawful, fraudulent, or deceptive purpose;
• send spam, malware, or engage in phishing or other abusive activity;
• infringe the intellectual property or other rights of any third party;
• interfere with or compromise the security or integrity of the Service, including probing, scanning, scraping, or attempting to gain unauthorized access; or
• circumvent any technical limitations, usage limits, or access controls.

4. App review, approval, and removal

All apps submitted to the VibeOS Dev Portal are subject to review. We reserve the right, at our sole discretion and at any time, to refuse, reject, delay, unpublish, suspend, or remove any app — and to deny or revoke publishing access — for any reason or for no reason, including where an app, its content, or its developer violates these Terms, our acceptable use rules, our content or developer policies, or any applicable law, or where an app creates a security, legal, reputational, or safety risk to us, our users, or third parties.

We are not obligated to provide a reason for any rejection or removal, and approval or publication of an app does not waive our right to remove it later. Where practical, we may notify you of a removal or denial and the general basis for it, and we may — but are not required to — give you an opportunity to address the issue or resubmit. Decisions regarding app review and availability are made at our sole discretion and are final.

Removal or denial of an app does not entitle you to a refund except as expressly stated in our Refund Policy.

5. Accounts and credentials

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it up to date.

6. Intellectual property

VibeOS, LLC and its licensors retain all right, title, and interest in and to the Service, including all software, documentation, branding, and other intellectual property. These Terms do not transfer any ownership rights to you. You retain ownership of the content and apps you submit, and you grant us a limited license to host and process that content solely to operate and provide the Service.

7. Payments, billing, and subscriptions

Payments are processed securely by our payment provider, Stripe. Card details are entered directly into Stripe's PCI-compliant checkout and are never stored on our servers.

Payment, billing, tax, renewal, and cancellation mechanics are handled through Stripe and are governed by the Stripe Consumer Terms. Please review our Refund Policy for details on requesting refunds.

8. Service availability and warranties

We strive to keep the Service available, but we do not guarantee that it will be uninterrupted, timely, secure, or error-free. To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

9. Limitation of liability

To the fullest extent permitted by law, VibeOS, LLC will not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, data, or goodwill. Our aggregate liability arising out of or relating to the Service will not exceed the fees you paid to us in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability for fraud, death, or personal injury where such limitation is prohibited by law.

10. Suspension and termination

We may suspend or terminate your access to the Service, in whole or in part, for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious violations of our policies. Upon termination, your right to use the Service ceases. We may provide a reasonable window to export your data before deletion, where practical.

11. Governing law

These Terms are governed by the laws of the jurisdiction in which VibeOS, LLC is established, without regard to conflict-of-laws principles. Disputes will be subject to the competent courts of that jurisdiction.

12. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
